Due Dates Quickly Approaching for New PA Annual Report Filing Requirements
Starting in 2025, most domestic and foreign entities registered in Pennsylvania must file an Annual Report with the Department of State.
Who Must File?
Domestic and foreign LLCs, corporations, partnerships, business trusts, and other registered entities.
What Changed?
Prior to the new law, business entities were only required to file reports with the Department of State every ten years. This requirement is now annual.
Cost:
There is a $7.00 filing fee. There is no fee for nonprofit corporations and any LPs or LLCs with a not-for-profit purpose.
Deadlines:
The deadline for filing the Annual Report is based on the type of entity. After your initial annual report, you will be required to file each subsequent report by the deadline on an annual basis. Deadlines for each type of entity include:
-June 30, 2025: For-profit and non-profit corporations
-September 30, 2025: Limited liability companies
-December 31, 2025: Any other associations including limited partnerships, limited liability partnerships, business trusts, and professional associations
Required Information:
1) Entity name
2) Jurisdiction where the entity was formed
3) Registered PA office address
4) Principal PA office address
5) Name of at least one officer, member, partner, or person in position of authority
6) Names and titles of the principal officers, if any
7) Entity number issued by the PA Department of State
Will I Be Notified About My Annual Filing Requirement?
The Department of State is required to mail to your registered address a notice of your required filing two months before the deadlines described above. Please also keep an eye out for a possible email closely titled, “Annual Report Reminder”, from No_Reply@PA.gov.
Two big reasons you may miss the reminder from the Department of State?
1) You throw out the notice or email because you think it is junk mail.
2) You have not updated your registered address with the Department of State.
Not receiving notice, however, is not an excuse for missing your annual report deadline.
What Happens If An Entity Does Not File An Annual Report?
Failure to file an annual report can result in the dissolution, termination, or cancellation of your business registration. Ensuring compliance with this new requirement is crucial to maintaining your good standing in Pennsylvania.
Are These The Same Filing Requirements That The Corporate Transparency Act (CTA) Necessitates?
Annual Reporting Requirements are not the same as Beneficial Ownership Information Reporting that was previously* required under the Corporate Transparency Act (CTA). The filing does not replace the reporting with FinCen (Financial Crimes Enforcement Network).
